1. Agreement
By engaging Bespoke Scaling ("BESPOKE", "we", "us") for any service, you ("Client") agree to these Terms & Conditions in full. These terms govern all projects, engagements, and communications between BESPOKE and the Client.
2. Services
BESPOKE provides digital marketing, web design, social media management, branding, and related creative services. The specific scope, deliverables, and timeline for each project are defined in a written proposal or Statement of Work ("SOW") provided prior to commencement.
We reserve the right to decline or terminate any project that conflicts with our values or applicable law.
3. Payment Terms
- A 50% non-refundable deposit is required to begin any project
- The remaining balance is due upon project completion and before final file delivery
- Monthly retainer services are billed in advance at the start of each billing period
- Invoices not paid within 14 days of the due date may incur a 1.5% monthly interest charge
- All prices are in Canadian Dollars (CAD) unless otherwise stated
4. Revisions & Scope Changes
Each project includes a defined number of revision rounds as outlined in the SOW. Requests that fall outside the agreed scope — including additional pages, new features, or fundamental design changes — will be quoted and billed separately.
5. Intellectual Property
Upon receipt of full payment, the Client receives full ownership of all custom deliverables created specifically for their project (logos, copy, custom code, design files).
BESPOKE retains ownership of any pre-existing tools, templates, frameworks, or proprietary methodologies used during production. Third-party assets (fonts, stock images, plugins) remain subject to their respective licenses.
BESPOKE reserves the right to display completed work in its portfolio unless the Client requests confidentiality in writing prior to project start.
6. Client Responsibilities
The Client agrees to:
- Provide necessary content, credentials, and approvals in a timely manner
- Ensure all materials supplied are legally owned or licensed
- Designate a single point of contact to avoid conflicting instructions
- Respond to requests within 5 business days to avoid project delays
Project timelines may be extended if the Client delays providing required inputs. BESPOKE is not liable for delays caused by the Client.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement.
8. Limitation of Liability
BESPOKE's total liability for any claim arising from a project shall not exceed the total fees paid by the Client for that specific project. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
We do not guarantee specific results such as search engine rankings, follower counts, or revenue figures. Marketing outcomes depend on numerous external factors beyond our control.
9. Cancellation & Termination
Either party may terminate a project with 14 days written notice. In the event of Client-initiated cancellation:
- The 50% deposit is non-refundable
- Any work completed beyond the deposit value will be invoiced at our standard hourly rate
- Completed deliverables will be released upon settlement of all outstanding balances
10. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
11. Changes to These Terms
BESPOKE reserves the right to update these Terms at any time. The current version will always be available on our website. Continued engagement after an update constitutes acceptance of the revised terms.
